Living aids are a small device that spend their time in most cases inside and behind the ear of an individual who has a hearing impairment. The small device is used to amplify noises to increase the probability of an individual who is hard of hearing in distinguishing a sound. Technology over the past decade has greatly increased both the effectiveness of hearing aids as well as greatly reduced the obtrusiveness of a hearing aid. It used to be that an individual would have to wear an "ear trumpet" or "ear horn", which was a larger and very noticeable way of aiding hearing. Before making a choice on any different model or function, I would first recommend talking to your medical professional. Always put functionality ahead of all of your other choices. A hearing aid that looks great, but doesn't help your hearing, isn't going to be much of an aid at all. Same with one that you are constantly changing the battery out of,etc. Functionality and practicality goes along way in the purchase of a hearing aid.

The 5 Biggest Mistakes Made by New LLCs

Mistake #1 Doing Business Before the LLC is Formed.

You are personally liable for any business activities or transactions that take place before your LLC is formed. A person can sue you years later for something you did today. If your business becomes successful, those early acts could cause you to be the subject of a personal lawsuit. Don't think it has not been done. With over 70,000 lawsuits filed a day, this world is filled with people and their predatory litigation attorneys looking for successful small businesses to attack.

Mistake #2 Failing to Actually Issue Ownership Interests in the LLC.

Many business owners create an LLC but never actually issue ownership interests (known as Membership Units) to the persons that are going to be owners of the LLC (known as Members). It can be easy for you mistakenly think that because you created the LLC, you are automatically the owner of the LLC. The fundamental premise of an LLC is that it is its own separate entity. When an LLC is formed by a state agency, it does not have owners. Membership Units or a percentage interest in the LLC must be issued to the persons who will be the owners. This issuance transaction should be in writing. The LLC Operating Agreement is the typical place where the LLC issues shares to Members. Make sure that after your LLC is formed, you complete this next step.

Mistake #3 Failing to Create a Management Structure.

An LLC needs to have a management structure. A management structure determines who has the authority to make decisions on behalf of the LLC. There are two management structures. A member-managed LLC is when the members automatically have the rights to operate and manage the LLC business. The second is a manager-managed LLC which creates a corporate type structure. A Board of Managers is created and persons who are appointed to that Board have the authority to run the business. The best place to create a management structure is in the LLC's Operating Agreement. All LLC's should have an Operating Agreement as this agreement creates the set of rules for your LLC.

Mistake #4 Failure to Get Investment Obligations in Writing.

The LLC Acts of most states require that all agreements by a Member of an LLC to contribute money to the LLC must be in writing. An oral agreement is not enforceable under the law. If you are planning on starting a new business with other persons, you will likely get together and decide on how much of the business each of you will own and on what obligations each of you are agreeing to with respect to that business. Obligations usually include how much money you are each going to contribute to the business or what kind of services and time commitment each of you will devote to the business.

These conversations take place but in many multi-member LLCs, they are never placed in writing. Without a writing, any oral promises are not enforceable. If you issue Membership Units based on an oral promise and the Member fails to deliver, you cannot take back the Units.

Mistake #5 Thinking that an LLC is a Foolproof Layer of Liability Protection

Yes, it is established that a Member of a properly formed and maintained LLC is not liable for the debts, obligations and lawsuits of the LLC merely by being a Member of the LLC. But, in a realistic business context, persons who are Members are usually not passive owners of the LLC. They are also active managers and operators of the LLC business.

In today's litigious world, all businesses should be run through a limited liability entity such as an LLC. The LLC liability protection is a significant protection vehicle. However, the LLC layer of protection does not extend to all potential liabilities that can arise in the midst of running an LLC. Do your homework in performing the administrative and other tasks of your LLC and retain the proper professionals to advise you when appropriate. There are certain standards and formalities you need to meet or else you run the risk of being personally liable (this risk is known as piercing the veil risk).

The LLC laws do not cover personal negligence. Your LLC should always have insurance to cover these types of business related accidents. Do not ever think that the LLC is enough to protect you in these circumstances. Similarly, there are some laws that hold you liable regardless of whether you are operating through an LLC. The most obvious one that might apply is if you are a licensed professional. Doctors, lawyers, accountants, real estate brokers and dentists, for example, are always personally liable for acts of malpractice. If you are a licensed professional, make sure you get the proper insurance. Also, there are certain tax, environmental and securities laws that you can be held personally liable for if your LLC is in violation of those laws and you were the responsible manager.

Finally, you cannot use your LLC to engage in fraud or hide behind the LLC to protect yourself when you engage in fraudulent or unlawful acts. If you break the law or try to defraud others, the law will hold you personally accountable.

In summary, the LLC is a wonderful vehicle for providing Members with limited liability protection. But, in order to preserve that protection, you cannot just form an LLC and then forget it exists. Make sure you do the necessary things to honor your LLC as a separate entity and also know that the LLC should not be your sole means of protection- get insurance when it makes sense and always invest in the required knowledge for operating your business which includes getting the right help when needed in your business!

Chocolate And Your Dogs Health -- What You Should Know

Chocolate. Who can resist it?

Your dogs health depends on it! (resisting, that is). We humans get to indulge because most of us know when to stop. But your dog won't quit after just a few. Give her a chance and she'll down the whole box of Godivas in one gulp. So on Valentine's Day, you're actually being kind to your best buddy if you eat all the chocolates yourself!

**Why is chocolate harmful to a dogs health?**

Chocolate, as you know, is made with cocoa beans. And cocoa beans contain methylxanthine alkaloids in the form of theobromine and caffeinea, which are toxic to dogs. Chocolate can also contain high amounts of fat which can put your dogs health in jeopardy as well.

**How Much is Too Much?**

Though it's certain that dogs and chocolate don't mix, different dogs react differently to the methylxanthines. And reactions can vary according to the age, size and overall health of the dog. The smaller the dog the smaller the dose needed to produce an effect.
And of course, if your dog's health is already weakened by other medical conditions, he's more susceptible. The same holds for older dogs..
Theobromine is present in differing amounts in different kinds of chocolate:

· White chocolate 1mg/oz

· Hot chocolate 12 mg /oz

· Milk chocolate 44-66 mg/oz

· Semi-sweet chocolate 260 mg/oz

· Dark chocolate 450 mg/oz (wow!)

· Baking/bitter chocolate or cocoa powder varies as much as 150-600 mg/oz.

**How much chocolate can a dog eat and survive?**

That depends in part on her weight.

Under 200 mg theobromine per kg body weight (91mg per lb) has not been observed to be fatal. A potentially lethal dose in a 16 pound. dog is only one pound of milk chocolate. Only two ounces of baking chocolate can cause serious problems in a 10-pound dog. People stop eating chocolate before getting to toxic levels, but dogs don't!

**What are the warning signs of a problem?**

Any dog who's eaten chocolate should be watched closely for symptoms, particularly smaller dogs, "seniors", and dogs with health problems. Symptoms may range from from vomiting and diarrhea to panting, excessive thirst and urination, hyperactivity, abnormal heart rhythm, tremors, seizures and even death in severe cases.

While white chocolate may not be as likely to cause a methylxanthine poisoning, the high fat content of lighter chocolates could still lead to vomiting and diarrhea, and possibly the development of life-threatening pancreatitis. Too much fatty food will also affect a dogs health in the same way it does ours, by packing on the pounds!

**What can be done once chocolate is ingested?**

Make note of the type of chocolate ingested and how much was eaten, if possible.

Theobromine will stay in the bloodstream between 14 and 20 hours. Within two hours of ingestion, try inducing vomiting unless your dog is over stimulated, comatose, or has lost the gag reflex.

If your dog has eaten a considerable amount of chocolate, or displays any of the above symptoms, take her to the vet right away. If her symptoms are minor, make her eat activated charcoal. The unabsorbed theobromine binds to it and be passed out of the system. (In a pinch, burnt - as in thoroughly blackened - toast will do.)

**Are there any other products I should worry about?**

Yes -- Cocoa Mulch!!

No, it's not chocolate, but the two products have something in common. They're both derived from the cocoa bean, and they're both hazardous to your dogs health.

Cocoa bean shells are a by-product of chocolate production and are popular as mulch for landscaping. Homeowners like the attractive color and scent, and the fact that the mulch breaks down into an organic fertilizer.

Some dogs are attracted to cocoa mulch, and will eat it in varying quantities. The coca bean shells can contain from 0.2% to 3% theobromine (the toxin ) as compaired to 1-4% in unprocessed beans.

Eating cocoa mulch has four possible outcomes. The most common is vomiting, in 50% of cases. Next most common, in 33% of cases, is tremors (shaking). And 17% end up with tachycardia (rapid heart rate), hyperactivity or diarrhea. The fourth outcome is no effect on the dogs health at all, and this is the result in 33% of cases.

Although only 16 cases were reported in approximately one year (the duration of the study), reports are on the increase. California accounts for about 2/3 of cases reported so far. Fortunately, there have been no reported fatalities, and getting your friend to the vet promptly will assure a happy outcome.

**What's the Bottom Line?**

Thanks to a more educated public, fewer fatalities from foods like chocolate are being reported these days.

Still, it pays to keep up with what's currently known about various foods and their effects on a dogs health and well being. Grapes and cocoa mulch, for example, were discovered only recently to have harmful effects.

Understanding the different types of Yoga

Yoga is becoming a more and more popular activity in the Western world today. The number of places holding Yoga classes is on the increase and there is a plethora of different types of Yoga. With a choice of Hatha Yoga, Ashtanga Yoga, Power Yoga, Iyengar Yoga, Bikram Yoga, Vinyasa Yoga and many more it can be easy to get confused

Hatha Yoga – in Sanskrit (an ancient classical language of India) “Ha” means “sun” and “tha” means “moon”. Like all types of Yoga, Hatha Yoga aims to unite the mind, body and spirit.

Ashtanga Yoga can be quite physically demanding as you constantly move from one asana in the sequence to the next, so you’ll find that it will improve your stamina as well as your flexibility and strength..

Power Yoga – this is a western interpretation of Yoga and is based on Ashtanga Yoga. A Power Yoga class may not necessarily stick to the exact sequence of poses like Ashtanga Yoga does, but it does involve practicing a series of poses without stopping and starting.

Iyengar Yoga – This type of Yoga is based on teachings by B.K.S Igengar and concentrates on the correct alignment and form of the body. Unlike Ashtanga Yoga, there is an emphasis on holding each pose for a long period of time rather than moving constantly from one pose to the next. Iyengar Yoga uses props such as blocks and straps to help align the body into the different poses.

Vinyasa Yoga – Vinyasa means breath synchronized movement and is another fast paced type of Yoga, with an emphasis on breathing. A practice typically starts with sun salutations and moves on to more intense stretching. Throughout the practice each pose is balanced with a counter pose.

Bikram Yoga – otherwise known as “Hot Yoga”, is practiced in a room heated to 105 degrees, with a humidity of around 40%. Generally a sequence of 26 different poses is practiced during a Bikram Yoga class and the hot temperature helps to loosen muscles. Due to the high temperature most people sweat a lot during the class and this helps to cleanse the body of toxins.

If you’re just starting out or have never done any Yoga before, I recommend trying a few different types of yoga to find out what you like best.

Remember, there’s no rule that says you have to stick to one type of Yoga. I like Ashtanga Yoga best, but I also go to occasional Iyengar and Hatha Yoga classes for a bit of variety.
